Termination of a Land Lease Agreement

A land lease agreement is a civil contract that establishes the legal relationship between the lessor and the lessee. However, equally important as concluding it is the proper termination of the land lease agreement, which requires compliance with legal regulations and the terms of the agreement itself.

Grounds for Termination of a Land Lease Agreement

According to Article 31 of the Law of Ukraine “On Land Lease”, the grounds for termination may include:

  • Expiration of the agreement term;

  • Expropriation of the land plot for public needs;

  • Voluntary refusal by one of the parties (with mutual consent);

  • Systematic violation of the agreement terms;

  • Death of the individual lessee (unless otherwise provided);

  • Court ruling on termination of the agreement;

  • Other cases provided by the agreement or the law.

The Civil Code of Ukraine (Articles 651–653) also provides for the possibility of judicial termination in case of material breach.

Termination Procedure

  1. By mutual consent — formalized by an additional agreement to the existing contract.

  2. In case of unilateral termination — the other party must be notified in writing with justification (at least 1 month in advance, unless otherwise specified in the agreement).

  3. Through court proceedings — a lawsuit must be filed with evidence of breach of contract terms.

It is also important to consider the requirements of the Land Code of Ukraine (Article 141) regarding the grounds for compulsory termination of land use rights.

Consequences of Termination

Upon termination of the lease agreement:

  • The land plot must be returned to the lessor in the condition specified by the agreement.

  • In case of early termination, compensation for damages may be required.

  • The lessee loses the right to use and/or dispose of the land plot.

Specifics for Municipal and State Land

Land plots owned by the state or municipalities require a special termination procedure, including coordination with relevant authorities and, in some cases, mandatory decisions by the local council session.
